Private Equity Investors

EPASS International develops and manages relationships with financial sponsors, private equity firms and angel investors engaged in acquisitions, buyouts, and recapitalizations of small and to middle market firms.

EPASS International advises financial sponsors, angel investors and lenders on the realizable value of going concerns, fixed assets, intangible assets and other specialized business assets. 

EPASS International may also arrange debt financing for leveraged buyouts where a private equity investor has a controlling interest.  We occasionally make co-equity investments where appropriate.

In addition to primary investment advice and capital-raising solutions, EPASS International specializes in providing investors and their portfolio of companies access to its comprehensive range of funding services. These services included trade receivables funding, contract funding, asset-based lending and risk management.

Participating and Subordinating



EPASS International offers a wide variety of services including core processing of records, full system reviews and production of timely and informative management accounts.  The services can be tailored to your own needs from the provision of a single individual service to a full accounting function. The work can be undertaken either at the offices of our partner organizations, or at your own premises.  We can remove the hassle often suffered by clients who don’t have the time to familiarize themselves with various accounting processes.

PAYE, NIC, Statutory Sick Pay, Statutory Maternity Pay and the Working Tax Credits all impose an administrative burden within small businesses and there can be some severe penalties onbusinesses where records are not properly kept and up-to-date. Small firms may also be unable to support a payroll clerk.  In addition, staff members who are charged with managing payroll as just a part of their duties, could contribute more in other areas if extra time was made available.

Small business owners and managers rarely have the time and resources to stay abreast of recent tax changes.  EPASS International is able to offer advice on the tax consequences of transferring to a limited company, VAT registration and the completion of VAT returns, PAYE schemes and other tax formalities, remuneration strategies, dividend planning and so on.

Prospective account holders often have financial needs that a commercial bank cannot initially satisfy.  EPASS International can function as a short-term lender, on an interim basis, while the commercial bank positions itself as the eventual long-term lender. We eventually help the commercial bank initiate the banking relationship with its prospects.

A number of corporate account holders need financing, but are unable to qualify for bank loans. Commercial banks often introduce these customers to EPASS International, thereby eliminating the need for them to search for financing from competing banks. EPASS International helps commercial banks to successfully retain their existing clients.

Corporate customers that default on bank loans are usually assigned to a commercial bank’s "special assets division" or workout group, for the purpose of terminating their loans and recovering principal amounts still outstanding.  Commercial banks frequently refer such customers to EPASS International, which acts as an alternative source of financing for troubled borrowers.  As a result, EPASS International has become a very important part of commercial banks’ workout strategies.
EPASS International often works commercial banks as a co-lender.  EPASS International finances commercial banks’ corporate account holders by introducing joint funding opportunities through participation agreements and accounts receivable subordination arrangements.

The referrals commercial banks make to EPASS International help secure and maintain the banking relationships commercial banks enjoy with their customers.  EPASS International works with commercial banks to keep their relationships intact, leaving the door open to commercial banks for future lending opportunities.
